New Central Bank pay rules bind banks and insurers, not their customers.

The Central Bank of the UAE has set how licensed banks and insurance companies must pay their own senior staff. Firms in scope have until 11 October 2026 to submit an implementation plan. Despite how the deadline has been reported, it has nothing to do with customer cashback or loyalty rewards.

What the regulation does

The Central Bank of the UAE issued the Remuneration Regulation for Banks and Insurance Companies, Circular No. 5 of 2026, which took effect on 14 April 2026. It governs how a bank or insurer structures the variable pay of its own employees — the bonuses of the staff whose decisions carry material risk. It is a prudential pay rule, of the same family as the international standards on banker remuneration, and it is directed at the firm, not at its customers.

The word carried in the headlines, “reward”, means an employee’s variable reward — a bonus. It does not mean a customer rewards, cashback or loyalty programme. A business that runs such a programme for its customers is not the subject of this regulation.

Who it binds

Banks and insurance and reinsurance companies licensed in the UAE, including Takaful operators. The obligation falls on the licensed institution and its board.

The 11 October step

11 October 2026 is 180 days after the regulation took effect. By that date, an institution in scope must review its existing remuneration arrangements, identify where they fall short of the new rules, and submit an implementation plan to the Central Bank. That plan is the deadline that has been reported. It is a governance and reporting step, not the point at which every contract must already comply.

Full substantive compliance follows later, by 14 July 2027, by which point the deferral schedules, the board-approved framework and the contractual terms must be in place.

What compliance requires

For staff identified as material risk takers, a large part of variable pay must be deferred over several years and a set share paid in instruments rather than cash, with the firm keeping the right to reduce or reclaim it. The framework is set by the board, disclosed annually, and applies malus and clawback where risk outcomes turn out badly. Failing to comply can bring financial or administrative penalties, restrictions on the powers of the board and senior management, or a bar on individuals working in the UAE financial sector.

What it means if you are entering

If you are forming an ordinary company in the UAE — a trading business, a services firm, a freezone entity — this regulation does not reach you. It is directed at licensed banks, insurers and Takaful operators, and for them it is an internal governance and human-resources obligation, not a change to any product they sell.

The reason we note it is the headline. “Bonus and reward rules” reads, at a glance, as though it might touch a company’s customer rewards or a cashback scheme. It does not. If you run a loyalty or cashback programme in the UAE, nothing here changes it.
